§B.1 Acceptance of terms

By accessing or using joicettech.com (the "Website") or any JOICE.AI mobile application published by JOICE.AI CO., LIMITED on Google Play or the Apple App Store (the "Apps", together with the Website, the "Service"), you agree to be bound by these Terms of Service (these "Terms").

If you do not agree to these Terms, do not access or use the Service. If you are accepting these Terms on behalf of an entity, you represent that you have authority to bind that entity, in which case "you" refers to that entity.

§B.2 Definitions

• "JOICE.AI", "we", "us", "our" refers to JOICE.AI CO., LIMITED, a Hong Kong company.
• "Service" refers to the Website and all Apps collectively.
• "Website" refers to joicettech.com and all subpages.
• "Apps" refers to each individual JOICE.AI mobile application published on Google Play or the Apple App Store.
• "User", "you", "your" refers to any natural person or entity that accesses or uses the Service.
• "Content" refers to any text, image, video, audio, or other material submitted by a User.
• "App Store Provider" refers to Apple Inc. (for the Apple App Store) and Google LLC (for Google Play), each as a third-party platform through which the Apps are distributed.

§B.3 Eligibility

You must be at least 13 years old to use the Service. If you are in the European Union or the United Kingdom, you must be at least 16 years old unless your local member-state law provides otherwise (some states lower the threshold to 13). If you are in a jurisdiction that requires a higher minimum age for valid consent to data processing, you must meet that higher age. If you are under the required age, a parent or legal guardian must accept these Terms on your behalf.

If you register an account, you agree to provide accurate, current, and complete information and to keep it updated. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.

If you accept these Terms on behalf of an entity (for example, your employer), you represent that you have authority to bind that entity, and references to "you" include that entity.

§B.4 License to use the Service

Subject to your compliance with these Terms, JOICE.AI grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes. You may not sublicense, resell, or commercially exploit the Service except as expressly permitted by these Terms.

You may not, and may not permit any third party to:

• Reverse engineer, decompile, or attempt to extract the source code of any App, except to the extent expressly permitted by applicable law.
• Modify, adapt, or create derivative works of the Service.
• Remove, alter, or obscure any proprietary notices in the Service.
• Use the Service in any manner that could damage, disable, overburden, or impair our systems.
• Use any robot, spider, scraper, or other automated means to access the Service for any purpose without our prior written consent.

§B.5 Acceptable use policy

When using the Service, you agree not to:

• Reverse engineer, decompile, or disassemble any App, except to the extent expressly permitted by applicable law.
• Scrape, crawl, or otherwise use automated means to access the Service except via documented APIs we publish.
• Interfere with the security of the Service or with other users' use of the Service.
• Misuse the advertising system — for example, by fraudulently claiming rewards, simulating impressions or clicks, or otherwise attempting to extract value from the reward flows offered via the ad SDKs described in our Privacy Policy.
• Upload or transmit viruses, malware, ransomware, or any other malicious code.
• Violate any applicable local, state, national, or international law or regulation.
• Infringe the intellectual property rights, privacy rights, or any other rights of any third party.
• Submit Content that is unlawful, harmful, threatening, abusive, harassing, defamatory, libelous, vulgar, obscene, or invasive of another's privacy.
• Impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity.

We may investigate and take appropriate action against any User who, in our sole discretion, violates this section, including removing Content, suspending or terminating the account, and reporting to law enforcement.

§B.6 Accounts

To use certain features of the Service you may be required to register an account. When registering, you agree to:

• Provide accurate, current, and complete information.
• Maintain and promptly update your information to keep it accurate, current, and complete.
• Maintain the security of your password and identification.
• Notify JOICE.AI immediately of any unauthorized use of your account.
• Accept all risks of unauthorized access to your data and information.

We reserve the right to suspend or terminate your account at any time, with or without notice, for conduct that we believe violates these Terms or is otherwise harmful to other Users, us, or third parties.

§B.7 Subscriptions, in-app purchases, and refunds

The Service may offer subscriptions or in-app purchases ("IAP") through the Apple App Store or Google Play. Purchases are processed by the relevant App Store Provider, and the App Store Provider's terms apply to billing and refunds.

Refunds for purchases made through the Apple App Store are governed by Apple's policies (currently available at support.apple.com/en-us/HT204084). Refunds for purchases made through Google Play are governed by Google's policies (currently available at support.google.com/googleplay/answer/134936).

Where required by local law (for example, EU consumer rights under Directive 2011/83/EU and UK Consumer Contracts Regulations 2013), additional refund rights may apply. If local law grants you a right of withdrawal that the App Store Provider does not honour, email [email protected] and we will assist.

If the Service offers a free trial, you will be notified of the trial length and the post-trial price before the trial begins. Subscriptions auto-renew unless cancelled at least 24 hours before the end of the current period. You can manage or cancel subscriptions in your App Store Provider account settings.

§B.8 Intellectual property

All rights, title, and interest in and to the Service — including all software, designs, graphics, text, trademarks, logos, and other content — are owned by JOICE.AI or our licensors and are protected by intellectual property laws.

JOICE.AI grants you a limited license to use the JOICE.AI trademarks solely to identify the Service in accordance with our published brand guidelines. No other license to use the JOICE.AI trademarks is granted.

Feedback. If you send us feedback, suggestions, or ideas about the Service, you grant JOICE.AI a worldwide, royalty-free, sublicensable, perpetual, irrevocable license to use that feedback for any purpose, including improving the Service. We will not identify you as the source of feedback unless you ask us to.

§B.9 User content

You may submit Content through the Service — for example, form messages, support emails, or in-app notes. You retain ownership of your Content. By submitting Content, you grant JOICE.AI a worldwide, royalty-free, sublicensable, non-exclusive license to use, reproduce, distribute, and display your Content for the purpose of operating the Service.

You represent that you own or have the necessary rights to submit the Content, and that the Content does not violate the rights of any third party or any law.

We may remove or restrict access to Content that we reasonably believe violates these Terms or any law, with or without notice to you.

§B.10 Third-party services and SDKs

The Service integrates third-party SDKs, including the 20 ad platforms listed in our Privacy Policy §A.6 — Google AdMob, Google Ad Manager (GAM), Meta Audience Network, Unity Ads, AppLovin, ironSource, Pangle, Vungle, Chartboost, InMobi, Tapjoy, Mintegral, Digital Turbine, Liftoff, Moloco, Yahoo Ads, Smaato, Start.io, Appodeal, and BidMachine.

Each third-party SDK operates under its own terms and privacy policy. By using the Service, you agree to be bound by the terms of the relevant third-party providers as applicable. The App Store Providers' terms also apply: the Apple End User License Agreement (currently at apple.com/legal/internet-services/itunes/dev/stdeula) and the Google Play Terms of Service (currently at play.google.com/intl/en_us/play-terms).

§B.11 Disclaimers (warranty)

The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, either express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted availability.

JOICE.AI does not warrant that the Service will be error-free or that defects will be corrected. JOICE.AI does not warrant that the Service, the server, or any communication are free of viruses or other harmful components.

Some jurisdictions do not allow the exclusion of certain warranties; in those jurisdictions the exclusions above apply to the maximum extent permitted by applicable law.

§B.12 Limitation of liability

To the maximum extent permitted by applicable law, JOICE.AI, its affiliates, officers, directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, goodwill, or other intangible losses, resulting from:

• Your access to or use of (or inability to access or use) the Service.
• Any conduct or content of any third party on the Service.
• Any content obtained from the Service.
• Unauthorized access, use, or alteration of your transmissions or content.

The aggregate liability of JOICE.AI for all claims arising under or in connection with these Terms shall not exceed the greater of (a) the amount you paid JOICE.AI in the 12 months preceding the claim or (b) USD 100.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law — including liability for death or personal injury caused by negligence, or for fraud.

§B.13 Indemnification

You agree to defend, indemnify, and hold harmless JOICE.AI and its affiliates, officers, directors, employees, agents, and licensors from and against any claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your breach of these Terms.
• Your use of the Service, including the Content you submit.
• Your violation of any law or the rights of any third party.

§B.14 Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for any conduct that we believe violates these Terms or is otherwise harmful to other Users, us, or third parties.

You may stop using the Service at any time. To request account deletion, see §B.15.

The following sections survive termination: §B.8 Intellectual property, §B.11 Disclaimers, §B.12 Limitation of liability, §B.13 Indemnification, §B.18 Governing law, §B.19 Dispute resolution, §B.21 Severability, §B.22 Entire agreement, and §B.23 Notices.

§B.15 Account deletion

You can request account deletion at any time:

• In-app: Settings → Privacy → Delete Account (path may vary slightly per App).
• By email: Send a request to [email protected] with the subject "Delete my account".

Account and associated personal data are deleted from production within 30 days; backups within 90 days. Where we are legally required to retain specific data (for example, purchase receipts for tax purposes), the retained data is isolated from marketing and analytics systems and used only to comply with the legal obligation. See our Privacy Policy §A.15 for the full procedure.

§B.16 Children's use

The Service is not directed to children under the age of 13 (16 in the EU/UK by default; see §B.3). We do not knowingly collect personal data from children under 13. If you are a parent or guardian and believe that your child has registered for the Service, please contact [email protected] and we will delete the account and associated data.

§B.17 International use and export controls

We operate the Service from Hong Kong. You are responsible for compliance with all laws applicable to your use of the Service in your jurisdiction.

You may not use the Service if you are located in a country subject to comprehensive sanctions administered by the U.S. Office of Foreign Assets Control (OFAC), the European Union, the United Nations, or any other applicable sanctions authority, or if you are a sanctioned person.

You may not export, re-export, or transfer any software or technology obtained through the Service in violation of U.S. Export Administration Regulations (EAR), the EU Dual-Use Regulation, or any other applicable export control law.

§B.18 Governing law

These Terms are governed by the laws of the Hong Kong Special Administrative Region of the People's Republic of China, without regard to its conflict-of-laws principles.

If you are a consumer in the European Union, the mandatory consumer protection laws of your country of residence also apply and prevail to the extent of any conflict.

If you are a consumer in the United Kingdom, the mandatory consumer protection laws of the United Kingdom also apply and prevail to the extent of any conflict.

§B.19 Dispute resolution

Informal resolution first

Before filing any formal claim, you agree to contact us at [email protected] and attempt to resolve the dispute informally. We will attempt to resolve the dispute by contacting you via email. If a dispute is not resolved within 30 days of submission, you or JOICE.AI may pursue formal resolution.

Arbitration clause

Where enforceable, any dispute arising out of or in connection with these Terms — including any question regarding its existence, validity, or termination — shall be referred to and finally resolved by binding individual arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under the HKIAC Administered Arbitration Rules in force when the Notice of Arbitration is submitted. The seat of arbitration shall be Hong Kong. The language of arbitration shall be English. The tribunal shall consist of a single arbitrator.

Class action waiver

Where enforceable, disputes shall be handled on an individual basis only. You waive any right to participate in a class, collective, or representative action against JOICE.AI. EU/UK consumer rights to bring claims through consumer protection bodies or local courts are preserved.

Small claims court

Notwithstanding the foregoing, either party may bring an individual action in a small claims court of competent jurisdiction.

Opt-out from arbitration

You may opt out of arbitration by emailing [email protected] within 30 days of first accepting these Terms, with the subject "Opt out of arbitration".

§B.20 Changes to these Terms

We may update these Terms from time to time. We will post the updated Terms on this page and update the "Last updated" date at the top. For material changes, we will show an in-app notice and email you at the address on file (if any). Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of the changes.

§B.21 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be severed from these Terms and the remaining provisions shall remain in full force and effect. The severed provision shall be replaced by a valid, legal, and enforceable provision that most closely reflects the original intent.

§B.22 Entire agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and JOICE.AI regarding the Service, and supersede all prior or contemporaneous communications and proposals, whether oral or written, between you and JOICE.AI with respect to the Service.

§B.23 Notices

We may notify you via in-app notice, email, or posting on joicettech.com. You agree that all notices we provide electronically satisfy any legal requirement that such communications be in writing.
